Terms & Conditions

These Terms and Conditions of Use (also referred to as our ‘Terms of Use) and the other documents we refer to below govern all ways of Users accessing and using our Central Bullion Platform which includes the Peer-toPeer Central Bullion Market and any of the Central Bullion Social Media and by using such you agree to comply with and be bound by these Terms and Conditions of Use.

In registering as a Central Bullion Registered User you are deemed to accept these Terms and Conditions of Use which define the entire business relationship between you and Central Bullion Ltd.

The last modification to these are Central Bullion Terms and Conditions of Use were made and posted on 22nd July 2021.

Central Bullion Ltd reserves the right to modify from time to time these Terms and Conditions of Use at any time.

Where practicable, notification of modifications will be sent via email and the modified Terms and Conditions of Use will be posted here, 30 days before coming into effect. During such 30 day period you have the right to terminate your relationship with Central Bullion Ltd under the previous Terms and Conditions of Use which can be done via email, asking for your Central Bullion Account to be closed. You are responsible for selling your Portfolio of Investment Bullion and withdrawing any money in your Central Bullion Account prior to requesting termination of your Central Bullion Account. If you do not take such timely actions as described to terminate your Central Bullion Account during the 30 day period, you are deemed to accept the new Terms and Conditions of Use.

If you create your Registered User Account during a 30 day notice of pending modifications to the Terms and Conditions of Use, then you are accepting that you will be bound by the new modifications to the Terms and Conditions of Use when they come into effect at the end of the 30 day notice period.

Please read through these Terms and Conditions of Use fully and carefully so that you are aware of, know and understand your rights and obligations when you use the Central Bullion Platform, which includes the Peer-to-Peer Central Bullion Market and any of the Central Bullion Social Media.

 

The following terminology applies to these Terms & Conditions of Use:

“Central Bullion Ltd” or "Central Bullion” or “Centralbullion” or "we" or "our" or "company" or "the company" or "us" means: Central Bullion Ltd, 20-22 Wenlock Road, London, England, UK. N1 7GU.

"Central Bullion Platform" or "The Platform" or "Platform" or "Central Bullion Website" or "The Website" or "Website" means: the Online Website Platform, which includes the Central Bullion Market, operated and maintained by Central Bullion Ltd and accessed via the domain name centralbullion.com and any of the regional or international "Central Bullion Ltd Domain Names" related to Central Bullion Ltd services, tools or applications including: Mobile websites, Android Apps, iOS Apps and any other access mechanisms.

"Central Bullion Market“ or "Market" or "centralbullionmarket.com” means: the online Peer to Peer Buying and Selling facility which is integrated into the Central Bullion Platform and is operated and maintained by Central Bullion Ltd and accessed via the domain name centralbullion.com and/or centralbullionmarket.com and any of the regional or international "Central Bullion Ltd Domain Names" related to Central Bullion Ltd services, tools or applications including: Mobile websites, Android Apps, iOS Apps and any other access mechanisms.

"Central Bullion Direct" means: a User buying ownership of Investment Bullion from Central Bullion Ltd, on the Central BUllion Platform.

"Central Bullion Ltd Domain Names" means: All domain names owned by Central Bullion Ltd including and not limited to: centralbullion.com, centralbullion.co, centralbullion.market, centralbullion.co.uk, centralbullion.uk, centralbullion.eu, centralbullion.info, centralbullion.org, centralbullion.net, centralbullion.gold, centralbullionmarket.com, centralbullionmarket.co.uk, centralbullionmarket.uk, centralbullionmarket.info, centralbullionmarket.org, centralbullionmarket.net, centralbullionmarket.gold.

"Central Bullion Services" means: all services provided by us to you.

"User" or "Registered User" or "Central Bullion Registered User" or "you" or "your" means: yourself as an individual, or entity, who visits or uses the Central Bullion Platform, which includes the Central Bullion Market and access and use via the API and any of the Central Bullion Social Media. A User may be both a Buyer, or Seller under these Terms & Conditions of Use.

"User Contract" or "Registered User Contract" or "your Contract" or "Central Bullion Registered User Contract" means:

(a) these Terms and Conditions of Use (which may be amended without prior notice).

(b) the Buyer Terms (which may be amended without prior notice).

(c) the Seller Terms (which may be amended without prior notice).

(d) any other contractual provisions that are uploaded to the Central Bullion Platform, which includes the Central Bullion Market, accepted by both the Seller and Buyer to the extent consistent with these Terms and Conditions of Use.

(e) any other information incorporated, or linked to, for reference (which may be amended, included, or removed without prior notice)

"Central Bullion Verified" or “Central Bullion Ltd Verified” or "KYC Verified" or "AML Verified" or "Verified" means: Users who have been satisfactorily verified under the KYC (Know your Customer), AML (Anti-money Laundering) and Identity Verification Policy.

"Account" or “User Account” or "Registered User Account" or "Central Bullion Account" or "Central Bullion User Account" or "Central Bullion Registered User Account" means: the Account created and used by a User on the Central Bullion Platform that is associated with the Users Email Address and Mobile Phone Number.

“Contract of Sale” means: the legally binding purchase agreement that automatically exists between a Seller and Buyer when a Seller Accepts a Buyers Order on the Central Bullion Market.

“Agreement” means: the legally binding Agreement between a User and Central Bullion Ltd when a User accesses and uses services on the Central Bullion Platform.

"Buyer" means: a User that makes a purchase on the Central Bullion Platform either from Central Bullion Direct or a Seller on the Central Bullion Market.

"Buy Bullion" or "Buy Investment Bullion" means: a User purchasing ownership of Investment Bullion as individual grams of large Investment Bullion Bars, along with other Users who also purchase individual grams from the same large Investment Bullion Bars.

"Seller" means: a User that Sells on the Central Bullion Market.

"Seller Services" means: all services provided by a Seller on or via the Central Bullion Platform.

"Sell Bullion" or "Sell Investment Bullion" means: selling the ownership of vaulted investment Bullion Bars in part or in whole.

“User Material” means: descriptions, photographs and specifications posted/uploaded by a User on the Central Bullion Platform. This also includes any opinions, messages, advertisements and announcements that are posted/uploaded by a User on the Central Bullion Platform.

"Payment" means: a payment via transfer of funds/currency or pool allocated bullion made by a User on or via the Central Bullion Platform.

"Bullion" or "Bullion Bars" or "Investment Bullion" or "Pool Allocated Bullion" or "Bullion Bars for Delivery" means: Precious Metal Investment Bullion Bars that we purchase from Refiners that are securely stored in fully insured in High Security Vaults and that Users can purchase ownership of individual grams of the Bullion Bars.

"Intellectual Property Rights" means: any intellectual property (IP) rights, existing worldwide and the subject matter of such intellectual property rights, including, but not limited to:

(a) copyright, trademarks, patents, registered designs, design patents, unregistered designs, unregistered trademarks and any rights to have confidential information.

(b) any applications, or rights to apply for the registration of any of the rights referred to in (a), whether or not such rights are existing under any laws, at common law or equity, or registered or capable of being registered.

"Dispute Resolution Process" means: the process that is followed by Users as a Buyers and/or Sellers in accordance with Dispute Resolution Services.

 

Terms and Conditions of Use

These Terms and Conditions of Use are applicable to all Users of the Central Bullion Platform and all Central Bullion Social Media.

Linked information is incorporated into this User Agreement for reference.

Headings are for reference purposes only and in no way define, construe, limit or describe the scope or extent of these Terms and Conditions of Use.

 

1: The Applicability of these Terms & Conditions of Use

These Terms and Conditions of Use form a legally binding agreement (the ‘Agreement’) between Central Bullion Ltd (Us) and you (the User).

These Terms and Conditions of Use govern your access to and use of the Central Bullion Platform and Central Bullion Social Media via any device. If there is conflicting information between the English version of these Terms and Conditions of Use and the other language versions, the English version prevails. Any (legal) Terms and Concepts used in these Terms and Conditions of Use will, however, be interpreted according to English Law.

 

2: Our other applicable policies

The following rules, policies and information apply to all Users of the Central Bullion Platform and they form an integral part of these Terms and Conditions of Use and by using the Central Bullion Platform, you herby confirm that you accept and agree to them:

2a. Seller Terms are specific to Users who Sell on the Central Bullion Market.

2b. Buyer Terms are specific to Users who Buy on the Central Bullion Platform either from Central Bullion Ltd (Central Bullion Direct) or other Users on the Central Bullion Market.

2c. Prohibited Items. If you are a Seller or Buyer on the Central Bullion Platform, these rules and information applies to you.

2d. Supported Countries and Payment Methods. If you are a Seller or Buyer on the Central Bullion Platform, this information applies to you.

2e. Privacy Policy. Protecting your personal information is of utmost importance to us and in our Privacy Policy you can read how we process your personal information.

3: The Scope of our Services

We provide, operate and maintain the Central Bullion Platform which includes the Central Bullion Market for Users to Buy and Sell Precious Metal Bullion and the scope of our Services is limited as follows:

3a. Users buying Investment Bullion from Central Bullion Ltd (Central Bullion Direct).

3b. Users converting Investment Bullion to Bullion Bars for Delivery.

3c. Users selling Investment Bullion on the Central Bullion Market.

3d. Users buying Investment Bullion on the Central Bullion Market.

3e. Users exchanging Gold Investment Bullion for Silver Pool Investment Bullion and visa versa.

3f. Users sending ownership of Investment Bullion to other Users as a Payment or Gift.

3g. Users receiving pwnership of Investment Bullion from other Users as a Payment or Gift.

3h. Users building savings as Investment Bullion with a Regular Investment Plan.

 

4: Third Party Service Providers

The Central Bullion Platform contains links to third party websites and makes use of the supplementary services by those companies for services such as, but not limited to: Banking, Currency Exchange, Payment Service Providers, KYC and AML Verifying Services, Personal Identification Service Providers, Storage and Delivery, Live Bullion Market Prices. The use of any such services, products or websites or applications are governed by and subject to the Terms and Conditions of Use and Privacy Policies of the third party service providers.

 

5: Your Central Bullion User Account

You may only carry out transactions on the Central Bullion Platform as a "Registered User”. 

Users must be minimum 18 years old and are required to complete verify their email address to become a Regsitered User and get access to all parts of the Central Bullion Platform.

When a User wants to carry out a trasnaction on the Central Bullion Website that is more than $5000.00, the User must complete further verfication and identification processes which includes: Personal and Business Identification and Verification to comply with our legal requirements and Anti-money Laundering Regulations.

The rules for the use of your Central Bullion User Account are described below:

5a. You must provide truthful and accurate information about yourself and your company or organisation when creating your Central Bullion User Account. If you use false information or impersonate another person or company, your Central Bullion User Account will be closed and deleted and any funds and Bullion held on your behalf may be permanently withheld from you. In addition your details may be reported to appropriate authorities on request. It is your sole responsibility to keep your personal and company information up to date at all times and you understand and accept that Central Bullion Ltd is entitled to rely on the accuracy of the details supplied by you.

You understand and accept that your failure to maintain your contact details correctly may negate some of the protections in your Central Bullion User Account. You hereby indemnify and keep indemnified Central Bullion Ltd against any losses of any kind which arise out of your failure to maintain and keep your contact details up to date and correct.

5b. When you choose a Username for your Central Bullion User Account it must not be considered to be offensive or vulgar and must not infringe on the intellectual property rights of third parties or in any other way violate these Terms and Conditions of Use.

5c. It is your sole responsibility to keep your Username and Password secret and only known to you at all times. You agree and accept that you are responsible for any activity related to your Central Bullion User Account which has been accessed using your Username and Password.

5d. Your personal information including any financial data held in your Personal Dashboard on the Central Bullion Platform, is protected from unauthorized access by your own 'Secret' Password created by you, which is your sole responsibility to keep secret from anyone else.

5e. You understand and accept that the Central Bullion Platform has a procedure which must be followed and completed to re-set your Password when you want to change it or if you have forgotten it. In creating a Central Bullion User Account you accept that to re-set your password you must follow and complete the procedure. You also accept that when you request that a Password is re-issued, that during the process you will not have access to your Central Bullion User Account and will not be able to add or withdraw any funds or buy or sell and products.

5f. You must provide the appropriate (ID) Identification Documents to comply with the 2007 Money Laundering Regulations.

5g. To ensure the Central Bullion Platform remains safe and trustworthy for all Users, we reserve the right to: (a) Deny you the ability to create a Central Bullion User Account, (b) Restrict, limit or deny the use of your Central Bullion User Account, (c) Close & delete your Central Bullion User Account.

5h. In the event that your Central Bullion User Account is restricted or closed and deleted, we also reserve the right to restrict or close any other Central Bullion User Accounts that we determine, that in our opinion, belong to or are linked to you. If you do not agree with the restriction of closure of a Central Bullion User Account, you will bear the burden of proof that the relevant Central Bullion User Account/s are not connected to you. Following closure and deletion of your Central Bullion User Account, you are prohibited from registering another Central Bullion User Account or accessing and using the Central Bullion Platform by using any other persons Central Bullion User Account.

 

6: Country Restrictions

The Central Bullion Platform may not be available to Users residing in certain Countries for reasons such as and not limited to: Countries where our third party payment providers are not supported, or Countries that are not commercially viable to Central Bullion Ltd. We reserve the right to prohibit and restrict Users from creating and using a Central Bullion User Account if the User resides in a prohibited Country. Countries may be added to the prohibited Country list, in which case Users who reside in those Countries will be informed.

You are obliged to comply with all applicable UK, European and International laws, act, treaty or regulations regarding the purchasing and/or selling of Bullion.

 

7: Anti-money Laundering and Personal Identification

Central Bullion Ltd has strict (AML) Anti-Money Laundering and Counter-Terrorism Financing Systems and Controls in place.

You understand and accept that when you create your Central Bullion User Account that you are required to provide appropriate personal and confidential information and ID (Identification Documents) to Central Bullion Ltd and Third Party processing partners to comply with the 2007 Money Laundering Regulations.

Central Bullion Ltd is registered with the NCA (National Crime Agency) for digital submission of SARs (Serious Activities Reports) and if for any reason whatsoever Central Bullion Ltd becomes suspicious of any attempt by you of money laundering, terrorist financing or any other breach of law, we will notify the NCA (National Crime Agency) and any other appropriate authorities and assist in their efforts of detection and prosecution.

To ensure the Central Bullion Platform, which includes the Central Bullion Website and the Central Bullion Market, remains safe and trustworthy for all Users, we reserve the right to: (a) Deny you the ability to create a Central BUllion User Account, (b) Restrict, limit or deny the use of your Central Bullion User Account, (c) Close & delete your Central Bullion User Account.

 

8: Buying and Selling on the Peer to Peer Central Bullion Market

The 'Peer-to-Peer' Central Bullion Market which is integrated into the Central Bullion Platform enables (Private and Business) Registered Users to trade (buy and sell) ownership of Investment Bullion with other Registered Users. You are able to Sell or Buy any amount of Pool Allocated Bullion in 1 gram increments.

You understand, accept and acknowledge that you have the competence to trade (buy and sell) on the Central Bullion Market, having read fully and completely understood all aspects of using the Central Bullion Market system as explained throughout the Central Bullion Platform, which includes the Central Bullion Market.

You understand and accept that you may only buy Investment Bullion on the Central Bullion Market for which you have sufficient funds in your Central Bullion User Account to effect the immediate settlement of your purchase. 

You understand and accept that you list Investment Bullion, at a price of your own choice, to sell on the Central Bullion Market yourself via the internet and that you are solely responsible to ensure that your Central Bullion User Account has sufficient Investment Bullion in your Portfolio and sufficient funds to complete the sale transaction.

You also understand and accept that in the event that the Investment Bullion in your Portfolio drops below the minimum allowed limit, that you will be liable for any such charges made against your Central Bullion User Account unless you bring the balance of Investment Bullion in your Portfolio above the minimum limit within the 7 days notification period.

You understand and accept while your Investment Bullion is listed for sale on the Central Bullion Market that only your User Name will be displayed in your listing, however when a Buyer has started the process to complete purchase of your Investment Bullion they may request to see and will be given your full Name and Address.

When you are Selling or Buying on the Central Bullion Market you understand and accept that if for any reason your Sale or Purchase does not comply with our Terms and Conditions of Use then your attempt to Sell or Buy will be rejected.

When you Sell or Buy Investment Bullion on the Central Bullion Market, the Investment Bullion remains in the same Vault and ownership is transferred from the Seller to the Buyer, hence there is no VAT to be paid or collected on the transaction. To comply with HMRC VAT regulations Central Bullion Ltd does not charge a commission on Silver trades and instead the monetary amount of any charges is added to the purchase price as mark-up and deducted from the sale price as a mark-down.

When you purchase Investment Bullion from another User on the Central Bullion Market the ownership of the Investment Bullion is delivered to you while it remains in the Vault Operator premises and therefore becomes a bailment of your property in accordance with your request and instructions made to Central Bullion Ltd.

You understand and accept that you purchase Investment Bullion per gram and that your ownership is for grams of large Investment Bullion Bars in a specific Vault, but that those grams of Investment Bullion do not relate to any specific Bullion Bar.

When you make a purchase of Investment Bullion on the Central Bullion Market, you are engaging Central Bullion Ltd as a custodian of your Investment Bullion and in turn Central Bullion Ltd subcontracts the physical custody of your Investment Bullion to internationally respected and trusted, Operators of High Security, Fully Insured and independently audited Vaults: Brinks Inc. and Loomis International.

 

9: Converting Investment Bullion to Bullion Bars for Delivery

You can request that all, or part, of your Investment Bullion is converted to Bullion Bars for Delivery to your own premises at any time.

You understand and accept that Investment Bullion is a lower cost to purchase per gram than the cost of Bullion Bars for Delivery. Therefore when converting Investment Bullion to Bullion Bars for Delivery you will be using a larger quantity (grams) of your Investment Bullion to convert to the same monetary value of Bullion Bars for Delivery.

The calculation made for the conversion will be based on the currenct price of Bullion Bars for Delivery on the Central Bullion Platform against the current price of Investment Bullion on the Central Bullion Platform at the time of conversion.

Pool Allocated Bullion can only be converted to 'whole' Bullion Bars for Delivery. The smallest sizes of Bullion Bars for Delivery that you can convert Pool Allocated Bullion to, are: 250g SILVER Investment Bullion Bars and 10g GOLD Investment Bullion Bars.

When you convert to Bullion Bars For Delivery, you are ordering a whole Bullion Bar, or Bars, that is/are shipped to your premises for you to store yourself and you will be also required to pay the appropriate shipping fees for the delivery of the Bullion Bars to your premises and you will be solely responsible and liable for looking after and insuring your Bullion Bars.

We do not hold any quantity of Bullion Bars For Delivery in our dedicated Vaults and you underatnd that the Bullion Bars delivered to you are from partner Bullion Dealers in your locality. You also understand that when you complete the conversion process on the Central Bullion Platform that the contract of supply (including terms and conditions of sale) will be from that point onwards be between yourself and the supplying Bullion Dealer and that Central Bullion Ltd are no longer liable for the delivery to you.

 

10. Regular Investment Plan

When you choose to use the Regular Investment Plan on the Central Bullion Platform, you agree and approve regular payments to be made into your Central Bullion Account via recurring payments from your Linked Debit/Credit Card.

You understand and accept that the Auto-invest facility of the Regular Investment Plan, automatically purchases more Investment Bullion Bullion from Central Bullion Ltd (Central Bullion Direct) on your behalf when your Central Bullion User Account has accumulated sufficient funds in your Central Bullion User Account to purchase a minimum of One (1) whole gram of Pool Allocated Bullion, with the excess un-invested funds remaining in your Central Bullion User Account..

The automatic purchases are made on each normal working day (mon to fri), at 2:35pm GMT (UK time) at the current price of Investment Bullion on the Central Bullion Website at that time.

You choose the amount of money that you want to regularly deposit each month, from as little as $10 per month and you can adjust the regular investment amount (with the minimum being $10 per month). You understand and accept that it is your sole responsibility to 'turn-on' or 'turn-off' the Regular Investment Plan Auto-invest facility in your Dashboard.

You understand and accept that Central Bullion Ltd will never be deemed at fault or held liable by you where the Central Bullion Platform purchases Investment Bullion on your behalf, according to your standing instruction while you have the Regular Investment Plan turned-on in your Central Bullion User Account Dashboard.

You will receive notifications of auto-invest purchases carried out on your behalf and it is your responsibility to monitor all such notifications sent to you. By using the Regular Investment Plan you accept responsibility of anticipating such notifications from us and ensuring that there are sufficient funds in your Bank Account to cover the regular Payment Amounts that you have set in your Dashboard.

Central Bullion Ltd accepts that the Central Bullion Platform operated by it is responsible for ensuring that your auto-invest purchases are made at the correct specific times. You understand and accept that in the event of a failure to action the auto-invest purchase at the correct specific time, that Central Bullion Ltd's liability to you is limited to no more than the loss you may incur arising from the price differential between the current Price on the Central Bullion Platform at at the time of purchase and the Price on the Central Bullion Platform at the time that the Central Bullion Platform should have made the purchase.

You understand and accept that Central Bullion Ltd reserves the right to turn-off the Auto-Invest facility on your Central Bullion User Account and that provided that Central Bullion Ltd has notified you prior to turning-off the auto invest facility, then you indemnify Central Bullion Ltd from any losses whatsoever to you that may arise from such action.

 

11: Charges, Fees and Pricing

When you use any of the services (including all facilities and functions) on the Central Bullion Platform, you agree and accept your liability for the Charges, Fees and Pricing, as published on the Pricing Page, including, but not limited to:

(a). Central Bullion Market - Buying & Selling

(b). Converting 'Investment Bullion' to 'Bullion Bars For Delivery'

(c). Delivery of Bullion Bars

(d). Vaulting & Insurance

(e). Deposit of Funds

(f). Withdrawal of Funds

(g). Changing linked Bank Account & Legal Name

(h). Currency Holding

(i). Deceased Account Administration

(j). Exceptional Work Time & Materials

(k). Password reset

(l). Delay of AML Validation Documents

(m). Small Account Deposits

(n). Deposits from 'non-linked/validated' Bank Accounts

(o). Non-permitted Card Deposits

(p). Contacting your Bank

(q).Trading Device Server abuse

(r). Free Bullion Promotion abuse

12: Cancellations, returns and refunds

As a Central Bullion Registred user you have the right to cancel your order or orders for Pool Allocated Bullion and Bullion Bars for Delivery from Central Bullion Ltd via the Central Bullion Platform, under the Consumer Contracts (Information, Cancellation & Additional Charges) Regulations.

Your right to cancel an order for goods starts the moment you place your order and ends 14 days from the day you receive your goods.

To meet the cancellation deadline, understand and accept that you must notify us via email or phone about cancelling the order before the cancellation period has expired.

If you are in possession of the goods you are under the duty to retain them and take reasonable care of them. You must send the goods back to us to our contact address at your own cost (unless we delivered the item to you in error, or the item is damaged or defective) as soon as possible after advising us that you have cancelled the order.

We reserve the right to make a charge, not exceeding our direct costs of recovering the goods, if you do not return the goods or return them at our expense.

Once you have notified us that you wish to cancel the order, any sum debited by us will be refunded to you as soon as possible and in any event within 14 days of us verifying and checking the goods received back at our promises.

You understand and accept that in the event that you do cancel your order and return goods to us that we will need to carry out checking and testing procedures to ensure that the goods are genuine to meet Anti-money laundering regulations and that you will be liable for our full costs for the checking and testing procedures of the returned goods. The goods returned to us must be returned in the original packing which must be in its original sealed at the refinery state and not tampered with or damaged.

You understand and accept that you will not be refunded for any goods that you return which arrive in unsealed, tampered with, or damaged packaging and you also accept that goods that are in sealed untampered packaging will always be required to go through the checking and testing procedures that you will be charged for.

You understand and accept that once an order by you has been accepted and confirmed on the Peer-to-Per Central Bullion Market, that you are unable to cancel your order.

 

13: Deposits

You understand and accept that when you add funds to your Central Bullion User Account that you must only use your verified and approved Linked Bank Account and make the deposit via Bank Transfer or via a debit card that is associated with that Linked Bank Account.

You understand and accept that you cannot merge funds from different parties into a single Central Bullion User Account

When making the deposit your Bank is expected to identify banking data on each incoming payment to the Bank Account of Central Bullion Ltd which should include (a) the Name of your Bank (b) your Account Name (c) the Bank Branch Identifying Code, (d) your Bank Account Number (e) the Payment Reference Number (f) your Central Bullion Account User Name.

In the event that your Bank fails to identify fully the source of your deposit it may cause a delay to your Central Bullion User Account being credited with your deposit. Such unidentified funds that arrive into any of our Bank Accounts are safely held until we have been contacted by you with the required proof of funds transfer.

You understand and accept that in such event your entitlement to withdraw your funds form your Central Bullion User Account may be suspended for a period of 60 working days.

Central Bullion Ltd reserves the right to 'bounce back' any funds that there are not sufficiently identified in accordance with these Terms and Conditions of Use and you understand and accept that in such an event, you may be charged a fee. 

You understand and accept that if you purchase Bullion using funds from any Bank Account that is not a verified and approved Linked Bank Account, Central Bullion Ltd reserves the right to sell such Bullion that was purchased and to return the funds from the sale of the Bullion back to the source of the funds, less any appropriate charges in accordance with these Terms and Conditions of Use.

By creating a Central Bullion User Account and using any of our services you hereby indemnify and keep indemnified Central Bullion Ltd against any losses to you which may arise out of your the failure by you to add any funds to your Central Bullion User Account other than from the your own verified and approved Linked Bank Account and that such funds belong entirely to you.

In the event that Central Bullion Ltd received funds deposited into a Bank Account where the source of the funds cannot be satisfactorily identified and the funds remain in the Bank Account for 4 years, then we reserve the right to make a contribution of such unidentified funds to a Charity of our choice, or distributed to the benefit of all Central Bullion Registered Users.

 

14: User Risk and Prohibited Activity

You agree and accept that your Central Bullion User Account is your sole responsibility and that you use the Central Bullion Platform and Central Bullion Social Media at your own risk. In addition you also agree that the same applies to your use of any and all technical means, such as any devices and internet connections when using the Central Bullion Platform and Central Bullion Social Media.

You guarantee not to perform any actions that may put a disproportionate or unreasonable strain on the infrastructure of the Central Bullion Platform which may result in a loss or reduction of its performance, or hinder its functionality.

You guarantee not to do anything which may damage the Central Bullion Platform, including and not restricted to: obtaining source code, reverse engineering, using viruses, trojan horses, worms, bots, software or other technical tools, or make any other attempt to circumvent protective technical measures.

 

15: Care of your Funds

You understand and accept that when you add funds to your Central Bullion User Account, depending on the Payment Method that you have chosen, the money that you have added may be deposited into either: a Central Bullion Ltd General Bank Account, or a Central Bullion Ltd segregated Client Bank Account. When your funds are deposited into a Central Bullion Ltd General Bank Account, the amount of funds that you have deposited is moved into a Central Bullion Ltd segregated Client Bank Account as soon as is practicable.

Central Bullion Ltd banks with several Banks in different Countries and jurisdictions and has several segregated Client Bank Accounts, each for holding different currencies which enables us to keep charges to Central Bullion Registered Users to the minimum, by reducing the volume and frequency of currency conversions.

You understand and accept that when you add funds to your Central Bullion User Account, that after your funds have completed the deposit process, the amount of your uninvested funds are held in a Central Bullion Ltd segregated Client Bank Accounts and that the funds are pooled with the uninvested funds of other Central Bullion Registered Users and that when you withdraw funds back to your own Linked Bank Account, the funds may come from a different Central Bullion Bank Account into which the amount of your funds was initially deposited.

You understand and accept that Central Bullion Ltd has taken the necessary care to ensure the good standing of the Banks where we have segregated client Bank Accounts, but also understand and accept that there is the possibility of downwards revision of any of the Banks standing in which event Central Bullion Ltd has no responsibility or liability for.

You understand and accept that the Banks used by Central Bullion Ltd to hold the money of Central Bullion Registered Users have accepted that the money held as clients money in a segregated Client Bank Account, is held by Central Bullion Ltd as a trustee and that each Bank has acknowledged and accepted that they are not entitled to exercise any right to counterclaim against any money in the segregated Clients Bank Accounts in respect of money owed to the Bank by Central Bullion Ltd.

You understand and accept that Central Bullion Ltd is permitted to manage your money held in the segregated Client Bank Accounts for, and not limited to, the following purposes:-

It may be used to pay another registered user for Pool Allocated Bullion that you have purchased from them on the Central Bullion Market, in which case the entitlement to that banked money is transferred to the Seller. Simultaneously the ownership of the Pool Allocated Bullion is transferred to you.

It may be used to pay Central Bullion Ltd for services, charges and fees owed to us by you in accordance with our Terms and Conditions of Use.

It may be used to pay-out back to you, withdrawals of your money, within your available limits.

Central Bullion Ltd has in place authorization measures to ensure that withdrawals by a Central Bullion Registered User can only be made to the verified and Linked Bank Account of that Registered User.

You understand and accept that where any of the Banks where Central Bullion Ltd holds Client Money, charges us a negative interest rate, or any other bank fee for holding your Client Money in any given currency, you will be charged an appropriate fee.

As we are notified by the Banks of any Currency Holding Fees for any specific currency, we will alert you minimum 5 working days in advance by email.

You understand and accept that there is no interest payable to you on any uninvested funds in your Central Bullion User Account.

You understand and accept that in the unlikely event Central Bullion Ltd ceased to exist, your un-invested money would be paid back to you from the funds held in the segregated Client Bank Accounts, by the Banks, and you understand and accept that the money that you deposit is at you own risk and that it is not covered by the Financial Services Compensation Scheme (FSCS). 

 

16: Withdrawal of funds

You understand and accept that you may withdraw funds from your Central Bullion User Account to your Linked Bank Account at any time, however, it is your sole responsibility to ensure that your personal details are up to date and that your Linked Bank Account is correct, verified, approved and active.

You also understand and accept that when you make a withdrawal to your Linked Bank Account that you will be charged appropriate fee/s as published on the Pricing page.

You understand and accept that Central Bullion Ltd may need to perform certain additional checks for both your own and our security, which may cause a delay in completing the transfer of the money to your Linked Bank.

 

17: Transmission of Data

When you log-in and use the Central Bullion Platform you understand and accept that all data which passes between you and the Central Bullion Platform, in either direction, is passed via the internet using the https protocol. The https protocol incorporates a level of Security which is generally accepted as being extremely reliable, accurate and private data transmission.

 

18: Email

When you create a Central Bullion Registered User Account you can opt-out (unsubscribe) from marketing emails, however you understand and accept that you cannot opt-out (unsubscribe) from emails that relate to the administration of your Central Bullion User Account which includes and is not limited to: login notifications, statements, changes to your Central Bullion User Account settings, order confirmations, statements, execution advices, price alerts, contracts and changes to the Central Bullion Terms and Conditions of Use.

You understand and accept that it is your sole responsibility to ensure that you have a reliable email service at all times to enable you to receive all emails sent from Central Bullion Ltd. Central Bullion Ltd reserves the right to rely upon you receiving and accepting the content of all emails sent to you at any time and is entitled to accept that you have received such emails within 3 working days of the send date. 

If there is an issue with any email sent to you by Central Bullion Ltd and you make us aware of such issue after the 3 working days, then any resolution will be considered in the context of any such issue by Central Bullion Ltd and if necessary through a complaints arbitration procedure.

You understand and accept that communications by email are not encrypted and that Central Bullion Ltd accepts no responsibility for the privacy of any emails sent to you from Central Bullion Ltd.

Central Bullion Ltd is responsible for initiating any Email messages sent to you in accordance with the details that we have for your Central Bullion User Account.

Central Bullion Ltd accepts no responsibility for the electronic process of the Email messages being sent, which is the responsibility of the technology service provider.

You understand and accept that Central Bullion Ltd accepts no responsibility or liability for any loss of any kind that you may incur as a result of an Email message not being delivered, in circumstances beyond Central Bullion Ltd's control.

Central Bullion Ltd reserves the right to suspend any Email communications to you if your Central Bullion User Account diminishes below a level at which Central Bullion Ltd deems to be unacceptable.

 

19: Postal Mail

Central Bullion Ltd may from time to time send information to you via Postal Mail rather than via electronic means of communication and as such Central Bullion Ltd is entitled to rely upon you receiving the Postal Mail and you sending any rejection of the contents of the postal mail to Central Bullion Ltd within 7 days of the original postal date to you.

Central Bullion Ltd is responsible for initiating and sending any Postal Mail messages sent to you in accordance the details that we have for your Central Bullion User Account.

Central Bullion Ltd accepts no responsibility for the process of the Postal Mail messages being sent, which is the responsibility of the postal service provider.

You understand and accept that Central Bullion Ltd accepts no responsibility or liability for any loss of any kind that you may incur as a result of a Postal Mail message not being delivered, in circumstances beyond Central Bullion Ltd's control.

Central Bullion Ltd reserves the right to suspend any Postal Mail communications to you if your Central Bullion Account diminishes below a level at which Central Bullion Ltd deems to be unacceptable.

 

20: SMS and Voice Mail

Central Bullion Ltd may from time to time send information to you via SMS or Voice Mail and as such Central Bullion Ltd is entitled to rely upon you receiving the SMS or Voice Mail within 5 minutes and that any rejection of the contents of the SMS or Voice Mail to Central Bullion Ltd must be within 1 working day.

Central Bullion Ltd is responsible for initiating any SMS messages and Voice Mails sent to you in accordance with the details that we have for your Central Bullion User Account.

Central Bullion Ltd accepts no responsibility for the electronic process of the SMS or Voice Mails being sent, which is the responsibility of the technology service provider.

You understand and accept that Central Bullion Ltd accepts no responsibility or liability for any loss of any kind that you may incur as a result of an SMS or Voice Mail message not being delivered, in circumstances beyond Central Bullion Ltd's control.

Central Bullion Ltd reserves the right to suspend any SMS or Voice Mail communications to you if your Central Bullion Account diminishes below a level at which Central Bullion Ltd deems to be unacceptable.

 

21: Message Board and Social Media User Material

When using the Central Bullion Platform, which includes the Central Bullion Platform and any of the Central Bullion Social Media, such as but not limited to: Twitter, Facebook, Instagram and Linkedin, you are solely responsible and liable for any material that you post/upload including and not limited to: descriptions, photographs, specifications, offers, opinions, messages, advertisements and announcements.

The following rules apply for any User Material that you post/upload:

You agree and accept that you are solely responsible and accountable for all User Material that you post/upload and you acknowledge and agree that the User Material you post/upload onto the Central Bullion Platform and any of the Central Bullion Social Media:

(a). Is not false, inaccurate, untrue, misleading or inappropriate.

(b). Does not and cannot have any negative effect on the good name or reputation of Central Bullion Ltd, its Directors, partners or other affiliated companies and third party service providers.

(c). Does not and cannot cause offence to anyone, is not discriminatory, does incite harassment or violence against any anyone, is not in bad taste, does not conflict with public morality, does not contain any link to pornographic material or adult websites, does not promote any illegal activities, does not consist of spam and does not link to any commercial websites.

(d). Does not conflict with any laws or regulations, does not infringe on any rights of third parties, is not unlawful towards third parties or Central Bullion Ltd and does not conflict with these Terms of Use.

(e). You agree and accept that when you post/upload any User Material onto the Central Bullion Platform and any of the Central Bullion Social Media, that you are granting us a free, uncumbered, global, non-exclusive, irrevocable licence to use, reproduce and communicate your User Material publicly for any purposes, in any format and through any channel. This Licence does not end when your Central Bullion User Account is closed and/or deleted, or you decide to stop using the Central Bullion Platform and any of the Central Bullion Social Media.

(f). We reserve the right to translate any User Material into any Language and adjust the material, if after translation, it has a demonstrable negative effect, or to remove the material if there is no suitable translation possible.

 

22: Reporting User Material Content

If you are of the opinion that certain User Material is inappropriate or unlawful, you should report this to us. We reserve the right to remove or change User Material on the Central Bullion Platform and any of the Central Bullion Social Media during or following investigation into any reports submitted.

 

23: User Account Closure, Deletion, Suspension and other measures

(a). Closing your Central Bullion User Account. You may close your Central Bullion User Account at any time, however, we have the right to refuse the closure or deletion of your Central Bullion User Account if you have outstanding obligations that you need to perform such as and not limited to: payment obligations to us, if there are any potential outstanding issues or complaints related to your Central Bullion User Account, posts or activities on the Central Bullion Platform or any of the Central Bullion Social Media.

(b). Your Central Bullion User Account closed by Us. We may close and delete your Central Bullion User Account at our sole discretion for reasons such as and not limited to: being legally required to so, if you or any other User of your Central Bullion User Account has acted in a way as not to comply with these Terms and Conditions of Use, if it is not in our business interests to continue to provide services to you.

(c). Suspension of your Central Bullion User Account. We are entitled to suspend your Central Bullion User Account and any services that we provide to you if there is sufficient reason to believe that you have not acted in accordance with these Terms and Conditions of Use.

(d). We may set-off claims. In the event that your Central Bullion User Account is suspended we will act to secure our own rights and those of other Central Bullion Registred Users and at our sole discretion: we may suspend payments from or to you, including refunds and we may use your funds to offset any financial claim that we may have against you. Any such actions taken by us will be regulated and carried out in accordance with mandatory consumer law.

(e). We may take additional protective measures. In addition to the measures described above, Central Bullion Ltd may also take additional measures to protect the company, the Platform, any of the Central Bullion Social Media and other Central Bullion Registered Users from any fraudulent, infringing or otherwise inappropriate behavior which are set out in these Terms and Conditions of Use.

 

24: Small Wallet Balances

You understand and accept that your Central Bullion User Account must retain an Account Balance of a minimum of $100 USD or other currency equivalent, to cover your Account Activity costs, fees and charges and that it is your responsibility to ensure that your Account remains within the minimum limit at all times and that if your Central Bullion User Account does fall below the minimum level then you may incur charges in accordance with these Terms and Conditions of Use and as published on the Pricing Page.

In the event that your Central Bullion User Account remains inactive with a balance of less than $100 USD, or other currency equivalent, for more than 6 months, then we reserve the right to close your Central Bullion User Account and make a contribution of such funds to a Charity of our choice or distributed to the benefit of all Central Bullion Registered Users.

 

25: Care of your Bullion

Central Bullion Ltd purchases Gold and Silver Bullion Bars only from LBMA accredited Refiners which includes the large vaulted 'Good Delivery' Bars that make up our Pool Allocated Bullion stocks and all other smaller sizes of Bullion Bars for Delivery.

You understand and accept that you purchase Pool Allocated Bullion per gram and that your ownership is for grams of Pool Allocated Bullion in a specific Vault, but that those grams of Pool Allocated Bullion do not relate to any specific numbered Bullion Bar.

When you make a purchase of Pool Allocated Bullion, you are engaging Central Bullion Ltd as a custodian of your Pool Allocated Bullion and in turn Central Bullion Ltd subcontracts the physical custody of your Pool Allocated Bullion to internationally respected and trusted, Operators of high security, fully insured and independently audited Vaults: Brinks Inc. and Loomis International.

In the Central Bullion Ltd and Vault operator contractual agreements, the Vault Operators acknowledge fully that that the Pool Allocated Bullion held in their Vaults on behalf of Central Bullion Ltd, shall at all times remain the property of Central Bullion Registered Users and is the subject of bailment.

The fees for the storage, handling and insurance of the Pool Allocated Bullion, which Central Bullion Ltd pays to each Vault Operator is the proof and evidence of the bailment nature of the services that the Vault Operator is providing Central Bullion Ltd and which creates the legal protection of your Pool Allocated Bullion for you.

You have full legal ownership and title of your physical Pool Allocated Bullion, so when you purchase Pool Allocated Bullion from us, the Bullion does not appear on the Balance sheets of Central Bullion or the Vault operators and instead remains as your personal property.

You can purchase Pool Allocated Bullion from either Central Bullion Ltd, or another User on the Central Bullion Market and you can sell all, or part of your Pool Allocated Bullion on the Central Bullion Market .

When you purchase Pool Allocated Bullion from Central Bullion Ltd or another User on the Central Bullion Market the Pool Allocated Bullion is delivered to you while it remains in the Vault Operator premises and therefore becomes a bailment of your property in accordance with your request and instructions made to Central Bullion Ltd.

When you convert to Bullion Bars For Delivery, you are ordering a whole Bullion Bar, or Bars, that is/are shipped to your premises for you to store yourself and you will also be required to pay the appropriate shipping fees for the delivery of the Bullion Bars to your premises and you will be solely responsible and liable for looking after and insuring your Bullion Bars.

 

26: Vault Operator Agreements

You understand and accept that in the Storage Agreements between Central Bullion Ltd and the Vault Operators, that the Vault Operators accept responsibility for the Bullion that is stored in their Vaults, from the time of delivery from the Refiner and that full custody, insurance and control is their legal responsibility up until custody and control has been relinquished by the Vault Operator to a third party in accordance with instructions from Central Bullion Ltd.

In each Storage Agreement between Central Bullion Ltd and a Vault Operator, the Vault Operator accepts that they must ensure that all Bullion held in their Vaults on behalf of Central Bullion Ltd is fully Insured against theft and damage in accordance with the accepted insurance standards of the International Bullion Industry and the Vault Operator undertakes to provide documentary evidence of the Insurance.

In each Storage Agreement between Central Bullion Ltd and a Vault Operator, the Vault Operator has agreed to give Central Bullion Ltd a minimum 12 months notice of the termination of the Storage Agreement.

On receipt of such notification of the termination of a Storage Agreement, Central Bullion Ltd will make arrangements for the Bullion held at the Operators Vault, to be transferred to the Vault of another suitable Vault operator under a similar Storage Agreement.

You will be given 3 months notice of such a change in Storage Arrangements to allow you sufficient time to make changes, if you so wish, to your Portfolio with central Bullion Ltd.

In the Central Bullion Ltd and Vault Operator contractual agreements, the Vault Operators acknowledge fully that that the Pool Allocated Bullion held in their Vaults on behalf of Central Bullion Ltd, shall at all times remain the property of Central Bullion Registered Users and is the subject of bailment.

 

27: Small Bullion Portfolio Balances

You understand and accept that there is a minimum limit of 2 grams of Gold Pool Allocated Bullion and/or 100 grams of Silver Pool Allocated Bullion that can be held in your Central Bullion User Account and if your Portfolio Balance falls below the minimum limit, you will be notified to increase your Pool Allocated Bullion to, or above, the minimum limit within 7 working days of the date of the notification.

In the event that your Portfolio remains below the minimum limit after the 7 working days notification period has ended, then we reserve the right to sell your Bullion, close your Account and make a contribution of such funds to a Charity of our choice or distributed to the benefit of all Central Bullion Registered Users.

 

28: Bullion Bars for Delivery shipping address

You understand and accept that when you convert Pool Allocated Bullion to Bullion Bars for Delivery, that the delivery will only be made to the shipping address that you have provided to us and that Central Bullion Ltd is not responsible or liable for the delivery to a shipping address provided by you which is incorrect.

When you receive the goods, you accept that it is your sole responsibility to inspect the products and that you must personally sign for the delivery.

In the event that the package has been opened and resealed then you must not sign for the package and must refuse the delivery, wether or not the package was opened and resealed by customs or a government agency.

Where you refuse a delivery due to the package being opened and resealed you understand and accept that you are liable for the delivery and return costs and that you are responsible for any customs charges, taxes, release charges, or any other charges that are applied to the consignment as a result of any actions taken by any government agencies and if such charges are not made directly to you, then you indemnify Central Bullion Ltd against the charges.

You understand and accept that in the even of any returned goods that we will need to carry out checking and testing procedures to ensure that the goods are genuine to meet Anti-money laundering regulations and that you will be liable for our full costs for the checking and testing procedures of the returned goods. The goods returned to us must be returned in the original packing which must be in its original sealed at the refinery state and not tampered with or damaged.

You understand and accept that you will not be refunded for any goods returned which arrive in unsealed, tampered with, or damaged packaging and you also accept that goods that are in sealed untampered packaging will always be required to go through the checking and testing procedures that you will be charged for.

You understand and accept that once an order by you has been accepted and confirmed on the Peer-to-Per Central Bullion Market, that you are unable to cancel your order.

 

29: Availability of the Central Bullion Platform

You agree and accept that we are authorised, at all times and without prior notice, to make technical, procedural, commercial, or other changes, amendments and improvements to the the Central Bullion Platform which includes the Central Bullion Website and Central Bullion Market and are also authorised to temporarily put out of operation, or limit the use of the Central Bullion Platform if it is deemed necessary to do so for reasons such as and not limited to: Central Bullion Platform server maintenance.

 

30: Warranties and Liabilities

The Central Bullion Platform is provided for use ‘as is’ and without any kind of express or implied warranty.

We do not guarantee that:

(a) the Central Bullion Platform will be secure or available on any particular date, time or in any particular time or location.

(b) any errors or defects of the Central Bullion Platform will be corrected.

(c) the Central Bullion Platform will be free of viruses or other harmful software or materials.

(d) that your use of the Central Bullion Platform meets your expectations.

In the event that at any time the Central Bullion Platform is unavailable, or have any defects or errors, we will at our sole discretion be entitled to take any measures deemed appropriate which may include and not be limited to: suspending all User activity, suspending/removing Central Bullion User Accounts, dissolving Contracts of Sale and Cancelling Transactions.

We cannot be held liable for.

Within the extent that is permitted by mandatory law, we accept no liability whatsoever for damages resulting from:

(a) The provision of Central Bullion Ltd services, including but not limited to damages resulting from, or in connection with your use of the Central Bullion Platform, or from wrongful acts, or otherwise.

(b) The cancellation of Transactions by us, or Contracts of Sale dissolved by us.

(c) The cancellation of Transactions by Registered Users, or Contracts of Sale dissolved by Registered Users.

(d) The performance of Third Party Shipping Services and the delivery of Bullion to Registered Users.

(e) The estimated values of Bullion/Precious Metal at any time.

(f) User Material.

(g) The unlawful use of the Central Bullion Platform.

(h) The use by Central Bullion Registered Users of the services of Third Party Service Providers.

(i) Any errors in the descriptions and information text as a result of translations.

(j) Technical problems or other errors of the Central Bullion Platform.

 

31: Limitation of liability

If Central Bullion Ltd is found to be liable for any damages for any reason whatsoever, Central Bullion Ltd shall only be liable for the compensation of direct damages a Central Bullion Registred User suffers as a result of a shortcoming, or wrongful act, that can be directly attributed to Central Bullion Ltd. Direct damages are restricted to only: material damage to goods, reasonable costs incurred to prevent or limit direct damage and reasonable costs incurred to determine the cause of the damage, the direct damage and the manner of repair. In the event that Central Bullion Ltd is liable for damages for any reason whatsoever, the liability is limited to the highest of the following amounts: (a) the total value of Bullion purchased by the Central Bullion Registered User with a maximum limit of £500 (five hundred British pounds). This limitation of liability does not exclude liability for gross negligence or willful misconduct committed by Central Bullion Ltd.

Reporting a damages claim. You agree and accept that you must report any damages to us in writing as soon as possible after first appearance of the damages. Any Claim for compensation against Central Bullion Ltd expires twelve (12) months after the first appearance of the damages.

The twelve months limitation period also applies if Central Bullion Ltd needs to pay out or refund you. It is your responsibility to ensure that we have the correct details to make such payment.

 

32: Indemnification

As a User of the Central Bullion Platform, to the maximum extent permitted by applicable law, you are liable to fully indemnify us against claims from other Users or from third parties and all damages and costs that Central Bullion Ltd may suffer or incur as a result of (a) your failure to perform the Terms and Conditions of Use, (b) any improper actions during the use of the Central Bullion Platform, (c) your breach of any regulations, laws, third party rights, or (d) a wrongful act by you. Your obligations for indemnification also applies to any partners, third party service providers, companies affiliated with Central Bullion Ltd and Central Bullion Ltd directors, employees, representatives and legal successors.

 

33: Central Bullion Ltd Intellectual Property Rights

You agree and accept that all intellectual property rights of the Central Bullion Platform and Central Bullion Ltd databases are owned by Central Bullion Ltd, partners and licensors. Subject to the conditions in these Terms and Conditions of Use, Central Bullion Ltd grants you limited personal rights to use the Central Bullion Platform and view the information and images within. The limited personal rights granted to you are: personal, non-exclusive, revocable, not (sub)licensable and non-transferable.

 

34: Disputes between Users

You agree and accept that you are obliged to try all means possible to resolve and dispute between yourself and any other Central Bullion Registered User of the Central Bullion Platform between yourselves. In exceptional circumstances on and on written request to us, we will make reasonable efforts to mediate between Users, however we cannot be held liable to pay any damages or other compensation to any Central Bullion Registered Users if they don’t agree with our decision.

 

35: Disputes between Central Bullion Registered Users and Central Bullion Ltd

You agree and accept that you must advise us in writing of anything you are unhappy with while using the Central Bullion Platform. If we are unable to resolve such a complaint the following rules will govern any legal dispute between you and Central Bullion Ltd:

These Terms and Conditions of Use and any disputes that arise from the Terms and Conditions of Use and the Central Bullion Platform are governed by English law, unless otherwise stipulated in mandatory law and all disputes that arise between you and Central Bullion Ltd will be submitted to a court in England, United Kingdom, unless mandatory law stipulates that the dispute must be submitted to another court. Consumers disputes must be submitted to a court in England, United Kingdom, unless you choose another court that is competent according to law and is done so within one (1) month after we have invoked this provision in writing. You can also alternatively choose to submit a complaint to an authority for extrajudicial dispute resolution (see the website of the ODR Platform for more information).

Reporting a claim for performance. If you believe that Central Bullion Ltd has failed to fulfill its obligations under the agreement, then you must report a claim for performance against Central Bullion Ltd as soon as possible. Each claim for performance expires twelve (12) months after the moment it becomes claimable.

 

36: Your details and activity that are publicly visible

The Central Bullion Market is a transparent facility and therefore certain information is made freely available to all Central Bullion Registered Users and may appear on 3rd party websites for information, articles and marketing purposes, supplied to our 3rd party business partners and government agencies (when requested), such as and not limited to:

Usernames (nicknames), Asking Prices, Total Quantities and Type of Precious Metal Bullion for sale, Balance Quantity and Type of Precious Metal Bullion available for sale, Size of Trades that have been executed, Holding Vault name (by country/city name only) and Transaction Ticker Reports.  

 

37: Privacy Policy

Central Bullion Ltd is committed to ensuring that your privacy is protected. Should we ask you to provide certain information by which you can be identified when using the Central Bullion Platform, which includes the Central Bullion Website and Peer-to-Peer Central Bullion Market, then you can be assured that it will only be used in accordance with the Central Bullion Ltd Privacy Policy.

38: Identifying yourself

When you create your Central Bullion Registered User Account, you are required to identify yourself and all other relevant parties. You authorize Central Bullion Ltd to make any such identification and/or verification enquiries as necessary to satisfy both Central Bullion Ltd and any third party verification partners of the validity of the identification information and material that you have provided.

You must supply all such information and documents, including and not limited to: (photographic proof of identity, proof of address, institutional documentation, copies of trust deeds and incorporation documents), that are required to comply with all applicable laws and regulations, which includes all applicable anti-money laundering regulations.

Where you are operating the Central Bullion Registered User Account on behalf of another beneficial owner, you accept and confirm that you do so with their full knowledge, approval and appropriate legal authorization and that you will provide any such information or material that is requested by Central Bullion Ltd or third party partners, of such authorization.

You accept and agree that following the creation of your Central Bullion Registered User Account that you will, at any time, provide any additional information or material that may be required to maintain accurate records to comply with legal requirements of Law.

 

39: Registered User Account Suspension and Closure

You understand and accept that Central Bullion Ltd reserves the right to suspend or close your Central Bullion User Account for reasons including, but not limited to:

(a) if Central Bullion Ltd has a reasonable belief or suspicion that your Central Bullion User Account poses a significant risk to Central Bullion Ltd, Yourself or other Central Bullion Users.

(b) if Central Bullion Ltd becomes aware that any information that you provided when creating your Central Bullion User Account, or any information within amendments that you have made since creation of your Central Bullion Account, is false.

(c) if Central Bullion Ltd becomes aware, or reasonably believes that a third party are, or have, been using your Central Bullion User Account fraudulently, illegally or in breach of these Terms and Conditions of Use.

(d) if you have acted in an abusive, threatening or violent manner towards any members of staff of Central Bullion Ltd.

(e) if you are found to be in breach of these Terms and Conditions of Use and have failed to remedy to our satisfaction such breach or breaches within the allowed time stipulated within these Terms and Conditions of Use.

You understand and accept that suspension or closure of your Central Bullion Account will prevent you from accessing or using your Central Bullion Account in any way, including buying or selling bullion or withdrawing funds and that during such suspension charges, fees and costs will continue to accrue, at your liability, against your Central Bullion Account.

You also understand and accept that Central Bullion Ltd is under no obligation whatsoever to disclose to you details of the risk assessment carried out by Central Bullion Ltd.

In the event that your Central Bullion Account is suspended, there will be no expropriation of your property during suspension and in the event that your Central Bullion Account is closed then your Account balance will be returned to your Linked Bank Account, less any appropriate costs, fees and charges and in accordance with these Terms and Conditions of Use.

 

40: Your Linked Bank Account

To be able to Buy and Sell on the Central Bullion Platform, you need to set-up a Linked Bank Account.

You may only have one (1) Linked Bank Account during any period of time, of which you can add or withdraw funds in/from your Central Bullion Account during any session that you are logged-in to your Central Bullion Account.

You agree and accept that Central Bullion Ltd will only remit the funds you withdraw to your approved Linked Bank Account specified in your Central Bullion Account Dashboard.

Central Bullion Ltd accepts no responsibility or liability for any loss where your Linked Bank Account details are incorrect at any time when you add or withdraw funds.

Central Bullion Ltd considers the owner(s) of a Central Bullion Account to be the party or parties named on the Linked Bank Account.

 

41: Changing your Linked Bank Account

You can change your Linked Bank Account to another Bank Account at any time.

You understand and agree that when you want to change your Linked Bank Account to an alternative Bank Account, then the full procedure (including AML) must be completed to verify and validate the new Bank Account before it will be accepted as your new Linked Bank Account and for you to be able to use the new Linked Bank Account to add or withdraw funds to/from your Central Bullion Account.

Your new Linked Bank Account must be held in exactly the same name/s as the previous Linked Bank Account and the names and details of your Central Bullion Account must not be simultaneously changed.

You agree and accept that you will be charged an administration fee as published on the Pricing page.

42: Failure to validate your Bank Account

Before you can add money to your Central Bullion User Account, your Bank Account must be verified and validated to complete the process to become a Linked Bank Account.

You understand and agree that Central Bullion Ltd will refuse to pay any money requested for withdrawal from your Central Bullion User Account to an un-validated account to comply with strict Anti-money laundering regulations.

In the event that you do not take steps to validate your Bank Account, after receiving three (3) reminders from Central Bullion Ltd, you accept that you will incur penalty charges described on the Pricing page and could lead to the suspension or closure of your Central Bullion User Account.

Central Bullion Ltd does acknowledges that no penalty charge will be applied where you are having genuine problems, due to circumstances beyond your control, to complete the validation process.

Central Bullion Ltd is registered with the NCA (National Crime Agency) and reserves the right to submit an SAR (Serious Activity Report), were you to fail to validate your account in suspicious circumstances.

You hereby indemnify and keep indemnified Central Bullion Ltd against any and all losses and costs which arise out of your failure to identify yourself and validate your account promptly.

43: Unsettled Fees and Charges

You understand and accept that when you retain a portfolio balance of Pool Allocated Bullion, but do not have a sufficient funds in your Central Bullion User Account to settle any fees and charges that accrue against your Central Bullion User Account, then Central Bullion Ltd reserves the right to redeem the companies entitlement by way of selling either Gold or Silver Pool Allocated Bullion in your portfolio to the extent that is required, to the nearest full gram of your Pool Allocated Bullion and which is calculated using the current Pool Allocated Bullion Gold or Silver prices on the Central Bullion Platform at that time.

You will be advised minimum 7 working days before the planned selling date of your Pool Allocated Bullion to give you the opportunity to add funds to your central Bullion Account via money deposit to your Account, or by you selling some or all of your Pool Allocated Bullion on the Peer to Peer central Bullion Market.

You cannot withdraw funds from your Central Bullion Account when you have unsettled fees or charges.

You also understand and accept that in the event that unsettled fess or charges remain after the 7 day notice period and the total value of your Pool Allocated Bullion in your portfolio is less than the total amount of unsettled fees and charges against your Central Bullion User Account, then Central Bullion Ltd reserves the right to sell all of your the remaining Pool Allocated Bullion and to close your Central Bullion User Account.

 

44: Account Alert

Account Alerts are automatically triggered and sent to you via SMS and/or email message, following certain activities happening or thresholds being reached in your Central Bullion User Account such as:

When the total value of unused funds in your Central Bullion User Account exceeding its maximum allowed holding threshold, where you will be advised to purchase more Pool Allocated Bullion, or withdraw funds to bring your Account back within its allowed levels.

When there has been suspicious or unusual activity in your Central Bullion User Account.

When there have been more than 3 attempts to access your Central Bullion User Account with the wrong User Name and/or Password.

You understand and accept that Central Bullion Ltd is not responsible or liable for you not receiving Account Alerts where there is a failure for the SMS and/or email electronic services to successfully send the Account Alert to your device or where you have not updated your Account with new contact details, or where you do not hear, see or notice the incoming Account Alerts.

 

45: Changes to these Terms and Conditions of Use

We may amend or supplement these Terms and Conditions of Use at any time by posting the amended Terms and Conditions of Use on the Central Bullion Platform. If there is a significant amendment or supplement to these Terms and Conditions of Use, then we at our sole discretion notify Users by email or some other means.

If you continue to use the Central Bullion Platform after the Terms and Conditions of Use have been amended or supplemented, you irrevocably accept the amended or supplemented Terms and Conditions of Use.

Central Bullion Ltd may transfer rights and obligations that follow from these Terms and Conditions of Use to third parties and we will inform you if this happens.

 

46: Survival

If any provision(s) in these Terms and Conditions of Use is/are void or invalid in whole or in part for any reason, any Central Bullion Registered Users and Central Bullion Ltd will remain bound by the remaining Terms and Conditions of Use. Void or invalid parts of these Terms and Conditions of Use will be replaced by provisions that are valid and which will have legal consequences that are in line with the removed invalid provisions, as much and as closely as is possible.
