These Terms and Conditions of Use (also referred to as our ‘Terms of Use) and the other documents we refer to below govern all ways of Users accessing and using the Central Bullion marketplace website and by using such you, as a Customer (Buyer), Vendor (Seller), Browsing Visitor, you agree to comply with and be bound by these Terms of Use.

These Terms of Use includes information and rules that are specifically pertinent to:

Customers (Buyers) - indicated as [C].

Vendors (Sellers) - indicated as [V].

Browsing Visitor - indicated as [B].

Customers, Vendors and Browsing Visitors – indicated as [C] [V] [B].

Before your use the Central Bullion Marketplace, you should read through these Terms of Use fully and carefully so that you are aware of, know and understand your rights and obligations when you use the Central Bullion Marketplace Website.

The following terminology applies to these Terms of Use:

“Central Bullion Ltd”, Central Bullion”, “Centralbullion”, "We", "Our", "Company" or "The Company" or "Us" means: Central Bullion Ltd, 20-22 Wenlock Road, London, England, UK. N1 7GU.

"Website" or “centralbullion.com” or "centralbullionmarketplace.com" or "Central Bullion marketplace" or "Central Bullion marketplace website" means: the Website operated by Central Bullion Ltd which is available at centralbullion.com and centralbullionmarketplace.com and any of the websites regional or other domains related Central Bullion Ltd services, tools or applications including: Mobile websites, Android Apps, iOS Apps and any other access mechanism.

"Domain Names" means: All domain names owned by Central Bullion Ltd including and not limited to: centralbullion.com and centralbullionmarketplace.com.

"Central Bullion Services" means: all services provided by Central Bullion Ltd to Users via the Central Bullion marketplace.

"User", "You" or "Your" means: yourself as an individual, business, company or organization who visits or uses the Central Bullion marketplace and includes access and use via the API. A User may be Customer (Buyer), Vendor (Seller) or Browsing Visitor under these Terms of Use.

"Buyer" means: a Customer that makes a purchase on the Central Bullion marketplace.

"Seller" means: a Vendor that Sells any product or service on the Central Bullion marketplace.

"Vendor" means a Seller who posts Products (Items, Goods) for sale onto the Central Bullion marketplace and sells and delivers those Goods to Buyers.

"Customer" means a Buyer purchases Products (Items, Goods) on the Central Bullion marketplace from Venors.

"Browsing Visitor" means: a person who is browsing the Central Bullion marketplace website who is not a Customer or Vendor.

"User Contract" means:

(a) these Terms of Use (which may be amended without prior notice).

(d) any other contractual provisions that are uploaded to the Central Bullion marketplace and accepted by both the Seller and Buyer to the extent consistent with these Terms of Use.

(e) any other information incorporated, or linked to, for reference (which may be amended, included, or removed without prior notice)

"Account" or "Central Bullion Account" or “User Account” or "Vendor Account" or "Seller Account" or "Buyer Account" or "Customer Account" or "Your Account" means: the Account created and used by a User on the Central Bullion marketplace that is associated with the Users Email Address and Mobile Phone Number.

“Contract of Sale” means: the legally binding purchase agreement that automatically exists between a Seller and Buyer when a Seller Accepts a Buyers Order.

"Buyers Order" or “Customers Order” means: when a Buyer selects Products for sale on the Central Bullion marketplace and follows and completes the ecommerce purchase and payment procedure for the Product/s.

“Agreement” means: the legally binding Agreement between a User and Central Bullion Ltd when a User accesses and uses services on the Central Bullion marketplace.

"Listed" means: the act by a Vendor of posting (uploading) User Content onto the Central Bullion marketplace about Products that they are selling.

"Seller Services" or “Vendor Services” means: all services listed, sold and provided by a Vendor on or via the Central Bullion marketplace.

"Seller Products" or “Vendor Products” or "Products" or "Items" or "Goods" means: all products listed, sold and provided by a Vendor on or via the Central Bullion marketplace.

“User Material” or "User Content" or “Vendor User Content” or “Vendor Content” or Customer Content” or "Seller Content" or "Buyer Content" or "Your Content" means: descriptions, photographs, diagrams and specifications posted by a User onto the Central Bullion marketplace. This also includes any opinions, messages, advertisements and announcements posted onto the Central Bullion marketplace.

"Payment" means: a payment via transfer of funds/currency made by a Buyer using any method of payment including, but not limited to: Credit/Debit Cards, e-Wallets, Bank Redirects and Transfers on the Central Bullion marketplace.

"Intellectual Property Rights" means: any intellectual property (IP) rights, existing worldwide and the subject matter of such intellectual property rights, including:

(a) copyright, trademarks, patents, registered designs, design patents, rights in circuit layouts (or similar rights), unregistered designs, unregistered trademarks and any rights to have confidential information.

(b) any applications, or rights to apply for the registration of any of the rights referred to in (a), whether or not such rights are existing under any laws, at common law or equity or registered or capable of being registered.

"Dispute Resolution Process" means: the process that is followed by Buyers and Sellers in accordance with Dispute Resolution Services.

"Device" means: any device that can access the Service such as a computer, a cellphone or a digital tablet.

"Feedback" means: feedback, innovations or suggestions sent by a User regarding the attributes, performance or features of our the Central Bullion marketplace and Central Bullion services.

"Free Trial" means: a limited period of time that may be free when purchasing a Subscription.

"Goods" means: Products or Items offered for sale on the Central Bullion marketplace.

"Orders" means a request by a Buyer to purchase Goods from a Seller.

"Promotions" means: contests, sweepstakes or other promotions offered through the Central Bullion marketplace.

"Subscriptions" means payment for access to the Central Bullion Services offered on a subscription basis by the Central Bullion Ltd to a User.

 

General Terms of Use

These Terms of Use were last modified on 24 August 2021 and describe the Terms and Conditions which you as a Customer (Buyer), Vendor (Seller) or Browsing Visitor wholly accept by accessing and using the Central Bullion marketplace and our Services.

These Terms of Use includes information and rules that are specifically pertinent to:

Customers (Buyers) - indicated as [C].

Vendors (Sellers) - indicated as [V].

Browsing Visitor - indicated as [B].

Customers, Vendors and Browsing Visitors – indicated as [C] [V] [B].

Before your use the Central Bullion marketplace, you should read through these Terms of Use fully and carefully so that you are aware of, know and understand your rights and obligations when you use the Central Bullion marketplace website.

Headings are for reference purposes only and in no way define, construe, limit or describe the scope or extent of these Terms of Use.

 

1: The Applicability of these Terms of Use. [C] [V] [B].

These Terms of Use form a legally binding agreement (the ‘Agreement’) between Central Bullion Ltd (Us) and you (the User).

These Terms of Use govern your access to and use of the Central Bullion marketplace via any Device. If there is conflicting information between the English version of these Terms of Use and the other language versions, the English version prevails. Any (legal) terms and concepts used in these Terms of Use will, however, be interpreted according to English law.

The following rules, policies and information apply to all Users of the Central Bullion marketplace and they form an integral part of these Terms of Use and by using the Central Bullion marketplace, you are confirming that you understand and agree to them:

2a. Terms of Use. If you are a Customer (Buyer), or Vendor (Seller) or Browsing Visitor using the Central Bullion marketplace, these rules and information apply to you.

2b. Prohibited Items. If you are a Vendor (Seller) using the Central Bullion marketplace, this information applies to you.

2c. Supported Countries and Payment Methods. If you are a Customer (Buyer) or Vendor (Seller) using the Central Bullion marketplace, this information applies to you.

2d. Privacy Policy. Protecting your personal information is of utmost importance to us and in our Privacy Policy, you can read how we process your personal information. Privacy Policy.
By accessing and using the Central Bullion marketplace, you are confirming and agreeing that your personal information can be used for the purposes described in our Privacy Policy.
If you are a Customer (Buyer), Vendor (Seller) or Browsing Visitor using the Central Bullion marketplace, this information applies to you.

2e. Cookies Policy. As is common practice with almost all professional websites and mobile applications, we use cookies on the Central Bullion marketplace. You can read about cookies and how we use them. Cookies Policy.
If you are a Customer (Buyer), Vendor (Seller) or Browsing Visitor using the Central Bullion marketplace, this information applies to you.

 

3: The Scope of our Services. [C] [V] [B].

Central Bullion Ltd provides and maintains the Online Central Bullion marketplace website where Vendors (Sellers) and Customers (Buyers) come together online to Sell and Buy Precious Metal Investment Bullion, Precious Metal Investment Coins, Precious Metal Production Material, Precious Metal Production Equipment, Precious Metal Luxury/Special Products and Vaulted Precious Metal.

The Central Bullion marketplace makes use of supplementary services of third party service providers such as the payment services provider Stripe. The use of any such services, products or websites are governed by and subject to the terms and conditions and privacy policies of the third party service providers.

Vendors are responsible for the Products that they sell on the Central Bullion marketplace and Central Bullion Ltd has no control over, or responsibility for, the condition, quality, safety, correctness or lawfulness of any Products that are posted for sale and sold by Vendors to Customers on the Central Bullion marketplace.

Central Bullion Ltd has no business partnership or affiliation with Vendors on the Central Bullion marketplace (other than the Vendor being an independent seller who pay us a commission to use the Central Bullion marketplace) and offers only a supporting and facilitating role in the advertising and buying process of the Vendors products.

When a Customer orders a Product from a Vendor on the Central Bullion marketplace, Central Bullion Ltd is not party to the Contract of Sale, which is between the Customer and Vendor. The purchase payment for each sale is processed by Stripe who send the funds directly to the Seller, less a 5% Sellers Commission Fee that Central Bullion Ltd charges for the use of the Central Bullion marketplace. Where applicable the Sellers Commission Fee will be increased by VAT and/or any other appropriate taxes/duties required by law, dependent on the Vendors jurisdiction.

Product warranties are offered by and are the sole responsibility of the Vendor. Central Bullion Ltd is not responsible for and accepts no liability for any Product Warranties/Guarantees offered with any products that are sold on the Central Bullion marketplace. Customers should carefully check the Conditions of Sale and any Product Warranties/Guarantees offered by the Vendor in the product listing, before ordering.

 

4: Your Vendor Account. [V].

To sell products on the Central Bullion marketplace, you must have a registered and approved Vendor Account.

The rules for the use of your Vendor Account are described below:

Provide true and accurate information.

You must provide truthful and accurate information about yourself, business, company or organization when creating your Vendor Account. If you use false information or impersonate another person or entity, your Vendor Account will be closed and deleted and any funds held on your behalf may be permanently withheld from you. In addition your details may be reported to appropriate authorities on request. It is your sole responsibility to keep your personal, business, company or organization information up to date at all times.

Use an appropriate Vendor name.

When you choose a Vendor/Shop name for your Vendor Account, it must not be considered to be offensive or vulgar and must not infringe on the intellectual property rights of third parties or in any other way violate these Terms of Use.

Protecting your Vendor Account.

It is your sole responsibility to keep your Username and Password secret and only known to you at all times. You agree and accept that you are responsible for any activity related to your Vendor Account when accessed using your Username and Password.

Provide (ID) Identification.

When you create your Vendor Account you will be required to provide information such as name, organisation name, address and payment details.

Depending on your legal status and the value of the products that you are Selling, you may be required to provide further appropriate (ID) Identification Documents to comply with the 2007 Money Laundering Regulations to remove Transaction Limitations.

Restrictions to your Vendor Account.

To ensure that the Central Bullion marketplace remains safe and trustworthy for all Users, we reserve the right to: (i) Deny you the ability to create a Vendor Account, (ii) Restrict or deny the use of your Vendor Account, (iii) Close & delete your Vendor Account.

In the event that your Vendor Account is restricted or closed and deleted, we also reserve the right to restrict or close any other Vendor Accounts that we determine, that in our opinion, belong to, or are linked to you. If you do not agree with the restriction or closure of a Vendor Account, you will bear the burden of proof that the relevant Vendor Account/s are not connected to you. Following closure and deletion of your Vendor Account, you are prohibited from registering another Vendor Account or accessing and using the Central Bullion marketplace by using any other entities Account.

 

5: Your Customer Account. [C].

To buy products on the Central Bullion Marketplace, you may make purchases as a “Guest” or you may create a Customer Account and make purchases via your Customer Account.

To benefit from Central Bullion Loyalty Point Promotions you must create a Customer Account prior to making a purchase where you wish to accrue Loyalty points.

You must be minimum 18 years old, or 16 years old if you have express permission from your legal guardian, who must be minimum 18 years old.

The rules for the use of your Customer Account are described below:

Truthful, accurate information.

You must provide truthful and accurate information about yourself when creating your Customer Account. If you use false information or impersonate another person, your Customer Account will be closed and deleted and any funds held on your behalf may be permanently withheld from you. In addition your details may be reported to appropriate authorities on request. It is your sole responsibility to keep your personal information up to date at all times.

Use an appropriate Customer name.

When you choose a Customer name for your Customer Account, it must not be considered to be offensive or vulgar and must not infringe on the intellectual property rights of third parties or in any other way violate these Terms of Use.

Protecting your Customer Account.

It is your sole responsibility to keep your Username and Password secret and only known to you at all times. You agree and accept that you are responsible for any activity related to your Customer Account when accessed using your Username and Password.

Provide (ID) Identification.

When you create your Customer Account you will be required to provide information such as name, address and payment details.

Depending on your legal status and the value of the products that you are Buying, you may be required to provide further appropriate (ID) Identification Documents to comply with the 2007 Money Laundering Regulations to remove Transaction Limitations.

Restrictions to your Customer Account.

To ensure that the Central Bullion marketplace remains safe and trustworthy for all Users, we reserve the right to: (i) Deny you the ability to create a Customer Account, (ii) Restrict or deny the use of your Customer Account, (iii) Close & delete your Customer Account.

In the event that your Customer Account is restricted or closed and deleted, we also reserve the right to restrict or close any other Customer Accounts that we determine, that in our opinion, belong to or are linked to you. If you do not agree with the restriction or closure of a Customer Account, you will bear the burden of proof that the relevant Customer Account/s are not connected to you. Following closure and deletion of your Customer Account, you are prohibited from registering another Customer Account or accessing and using the Central Bullion Marketplace by using any other entities Account.

 

6: Vendor and Customers Account Country Restrictions. [C] [V].

The Central Bullion marketplace may not be available to Vendors and Customers residing in certain Countries for reasons such as and not limited to: Countries where our third party payment providers are not supported, or Countries that are not commercially viable to Central Bullion Ltd. We reserve the right to prohibit and restrict Vendors and Customers from creating and using a Central Bullion Account if they reside in a prohibited Country. Countries may be added to the prohibited Country list, in which case Vendors and Customers who reside in those Countries will be informed.

Vendors and Customers are obliged to comply with all applicable UK, European and International laws, act, treaty or regulations regarding the Selling and Purchasing of Precious Metals and any other products on the Central Bullion Marketplace.

 

7. Accepting Orders for Products. [V].

By accepting orders for Products on the Central Bullion marketplace you warrant that:

(7a) The product description is true and accurate.

(7b) You have the Products in stock and available for immediate dispatch.

(7c) You will supply an Invoice to the Customer with all necessary legal information such as your name, address, telephone number, product/s purchased, amount in the Buyers chosen currency, tax and vat, relevant to the order.

(7d) You will honour your Contract of Sale and any product warranty that you have offered with the Product/s.

(7e) You have the legal right to accept payment for the product/s.
By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of the Order.

 

8. Customers Placing Orders for Products. [C].

By placing an Order for Products on the Central Bullion Market you warrant that You are legally capable of entering into binding contracts.
Your Information

If You wish to place an Order for Products available on the Central Bullion marketplace, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information.

You represent and warrant that:

(i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order,

(ii) the information You supply is true, correct and complete.

By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

 

9. Correction of inaccuracies by Vendors. [V].

Vendors must ensure that their Product listing are accurate at all times. In the event that there are any inaccuracies the Vendor is obligated to make correction without delay.

Repeated failure to do so in a timely manner, may result in the suspension or closure of your Vendor Account.

 

10. Availability, Errors and Inaccuracies. [C].

The Products listed for sale on the Central Bullion marketplace are listed by Vendorss around the world who are constantly updating their offerings of Products for sale. Therefore the Products available on the Central Bullion marketplace may be mispriced, described inaccurately, or unavailable and there may be delays in Vendors updating information regarding their Products for sale.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We and all Vendors reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

 

11. Prices Policy and Customer order cancellation. [C].

Central Bullion Ltd and all Vendors on the Central Bullion marketplace reserve the right to revise the prices of any Products for sale at any time prior to accepting Orders for those Products.

The prices quoted may be revised by the Us or Vendors subsequent to accepting an Order in the event of any occurrence affecting delivery caused by government action, variation in customs duties, increased shipping charges, higher foreign exchange costs and any other matter beyond the control of Us or Vendors. In that event, You will have the right to cancel Your Order.

 

12. Accepting Payment from Customers. [V].

Secure Payments

All payments made by Customers on the Central Bullion marketplace are processed through the completely safe and secure Stripe payments processing platform.
Stripe is an Irish-American Financial Services Company and has been audited by a PCI-certified auditor and is certified to PCI Service Provider Level 1. This is the most stringent level of certification available in the payments industry. To accomplish this, Stripe uses the best-in-class security tools and practices to maintain a high level of security at Stripe.

Payment can be made by Customers with various payment cards such as Visa, MasterCard, Affinity Card, American Express cards, or other online payment methods such as e-wallets (e.g G Pay, Apple Pay) and Bank redirects.

To accept Payments you must create a Stripe Account which is connected to the Central Bullion Ltd Stripe platform Account.

When a Customer makes a Purchase from you, the payment is processed by Stripe and is deposited into your connected Bank Account, less the 5% Sellers Fee that we charge.

 

13. Paying for your order. [C].

Secure Payments

All payments that you make on the Central Bullion marketplace are processed through the completely safe and secure Stripe payments processing platform.

This is the most stringent level of certification available in the payments industry. Payment can be made with various payment cards such as Visa, MasterCard, Affinity Card, American Express cards, or other online payment methods such as e-wallets (e.g. G Pay, Apple Pay) and Bank redirects.

You represent and warrant that you have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order

Payment cards (credit cards or debit cards) are subject to validation checks and authorization by your card issuer. If we do not receive the required authorization, We and the Vendor will not be liable for any delay or non-delivery of Your Order.

 

14. Shipping by Vendor. [V]

Dispatch without delay

When a Customer makes an order on the Central Bullion marketplace, the order should be processed and dispatched by the Vendor and delivered without undue delay within 10 working days of the date of the purchase.

Safe Delivery

Vendors are required to ship products via a registered, tracked and insured delivery service, providing maximum protection for the Vendor and Customer and providing a suitable method of tracking the parcel from Vendor to the Customer.

 

15. Shipping your order to you. [C].

Dispatch without delay

When you make purchase on the Central Bullion marketplace, the Vendor is required to dispatch and ship the package to you without undue delay within 10 working days of the date of the purchase.

You should wait 10 working days for the package to arrive and then in the event that the package does not arrive within the time frame, the you should contact the Vendor and Courier.

Safe Delivery

When the Vendor ships your purchased product/s to you, they are required to send the package via a registered, tracked and insured delivery service, providing maximum protection for the you and the Vendor and providing a suitable method of tracking the parcel during it's journey from the Vendor to You.

 

16. Buyer Protection. [C] [V].

When a Customer makes a purchase from a Vendor on the Central Bullion marketplace, the payment is held for 14 days by Stripe after the date of purchase.

The approx. 14 day holding period of the Customers payment is to allow time for the Customer to receive the package and to inspect the product/s and if the Customer has any issues with their purchase, they have time to make a report to the Vendor.

 

17. Cancellations, returns and refunds. [C] [V].

All Customers have the right to cancel their order under the Consumer Contracts (Information, Cancellation & Additional Charges) Regulations.

The right to cancel an order for Goods starts the moment a Customer places their order and ends 14 days from the day the Customer receives the Goods.

To meet the cancellation deadline, the Customer must notify the Vendor about cancelling the order, before the cancellation period has expired.

We and all Sellers reserve the right to refuse or cancel Customers orders at any time for certain reasons including, but not limited to:

• Goods availability

• Errors in the description or prices for Goods

• Errors in the Customers order

We and all Sellers reserve the right to refuse or cancel Customers orders if fraud, or an unauthorized or illegal transaction is suspected.

 

18. Your Order Cancellation Rights. [C].

Any Products you purchase from Vendors on the Central Bullion marketplace can only be returned in accordance with the Consumer Contracts Regulations and these Terms of Use.

Your right to cancel an Order only applies to Products that are returned in the same condition as you received them. You should also include all of the products instructions, documents and wrappings. Products that are damaged or not in the same condition as you received them, or which are worn simply beyond opening the original packaging will not be refunded. You should therefore take reasonable care of the purchased Products while they are in your possession.

You will not have any right to cancel an Order for the supply of any of the following Products:

• The supply of Products made to your specifications or clearly personalized.

• The supply of Products which according to their nature are not suitable to be returned, deteriorate rapidly or where the date of expiry is over.

• The supply of Products which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.

• The supply of Products which are, after delivery, according to their nature, inseparably mixed with other items.

• The supply of digital content which is not supplied on a tangible medium if the performance has begun with Your prior express consent and You have acknowledged your loss of cancellation right.

If you are in possession of the Product/s, you are under duty to retain it/them and take reasonable care of it/them. You must send the Products back to the Vendor at your own cost (unless the Vendor delivered the Product/s to the you in error, or the Product/s is/are damaged or defective) as soon as possible once you have cancelled the order.

You will be reimbursed no later than 14 days from the day on which the Vendor receives the returned Product/s, using the same means of payment as you used for the Order, and Central Bullion Ltd and the Vendor will not charge any fees for such reimbursement in accordance with these Terms of Use.

The Vendor has the right to make a charge, not exceeding the direct costs of recovering the goods, if you do not return the goods, or returns them at the Vendors expense.
In no event should goods purchased by you be sent to the Central Bullion Ltd offices. Any Goods that you send to the Central Bullion Ltd offices will not be accepted and it will be your responsibility, liability that courier returns the goods to you and at your cost.

 

19. Subscriptions [V].

Subscription period

Some parts of the Central Bullion Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

At the end of each period, your Subscription will automatically renew under the exact same conditions unless You cancel it or Central Bullion Ltd cancels it.

Subscription cancellations

You may cancel your Subscription renewal either through Your Account settings page or by contacting Central Bullion Customer Service. You will not receive a refund for the fees that you have already paid for your current Subscription period and you will be able to access the Service until the end of your current Subscription period.

Billing

You shall provide the Central Bullion Ltd with accurate and complete billing information including full name, address, state, zip/post code, telephone number, and a valid payment method information.
Should automatic billing fail to occur for any reason, we will an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Fee Changes

Central Bullion Ltd at its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.
We will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

Refunds

Except when required by law, paid Subscription fees are non-refundable.
Certain refund requests for Subscriptions may be considered by us on a case-by-case basis and granted at our sole discretion.

Free Trial

We may, at our sole discretion, offer a Subscription with a Free Trial for a limited period of time.
You may be required to enter Your billing information in order to sign up for the Free Trial.

If You do enter Your billing information when signing up for a Free Trial, you will not be charged by Us until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

At any time and without notice, the we reserve the right to (i) modify the Terms and Conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

Any Promotions made available on the Central Bullion marketplace and through the Central Bullion Service may be governed by rules that are separate from these Terms of Use.
If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Use, the Promotion rules will apply.

 

21: User Risk and Prohibited Activity. [C] [V] [B].

You agree and accept that your Vendor or Customer Account is your sole responsibility and that you use the Central Bullion marketplace at your own risk. In addition you also agree that the same applies to your use of any and all technical means, such as any devices and internet connections when using the Central Bullion marketplace.

You guarantee not to perform any actions that may put a disproportionate or unreasonable strain on the infrastructure of the Central Bullion marketplace which may result in a loss or reduction of its performance, or hinder its functionality.

You guarantee not to do anything which may damage the Central Bullion marketplace, including and not restricted to: obtaining source code, reverse engineering, using viruses, trojan horses, worms, bots, software or other technical tools, or make any other attempt to circumvent protective technical measures.

Your Rights to Post/Upload/List Content

The Central Bullion marketplace and Central Bullion Social Media enables You to post/upload/list Content.

You may post/upload/list content on the Central Bullion marketplace at any time to promote/advertise Goods that you are selling on the Central Bullion marketplace.

You may post/upload content onto the Central Bullion Social Media platforms.

You acknowledge and agree are that you are responsible for the Content that You post onto the Central Bullion marketplace and Central Social Media including its legality, reliability, and appropriateness.

You retain any and all of Your rights to any Content You submit, post or display on the Central Bullion marketplace and Social Media and you are responsible for protecting those rights.

You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms of Use, and (ii) the posting of your Content on the Central Bullion Marketplace or Social Media does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Central Bullion Ltd is not responsible for the content posted/uploaded/listed by anyone onto the Central Bullion marketplace and Central Bullion Social Media.

When using the Central Bullion marketplace and Social Media you are solely responsible and liable for any material that you post/upload, including and not limited to: descriptions, photographs, specifications, offers, opinions, messages, advertisements and announcements. You expressly understand and agree that you are solely responsible for the Content and for all activity that occurs under your Account, whether done so by you or any third person using your account.

Content Restrictions

You may not post onto the Central Bullion marketplace or Central Bullion Social Media any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

• Unlawful or promoting unlawful activity.

• Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.

• Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.

• Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.

• Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.

• Impersonating any person or entity including the Company and its employees or representatives.

• Violating the privacy of any third person.

• False information and features.

We reserve the right, but not the obligation, to, at our sole discretion, determine whether or not any Content is appropriate and complies with these Terms of Use, refuse or remove the Content. We further reserve the right to make formatting and edits and change the manner of any Content that you post on the Central Bullion marketplace and Central Bullion Social Media. We can also limit or revoke the use of the Central Bullion marketplace if You post such objectionable Content.

Content and your risk when using the Central Bulllion marketplace

As Central Bullion Ltd cannot control all content posted by all users and/or third parties onto the Central Bullion marketplace and Central Bullion Social Media, you agree to use the Central Bullion marketplace and Central Bullion Social Media at your own risk. You understand that by using the the Central Bullion marketplace and Central Bullion Social Media that You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will we be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.

Content Backups

Although regular backups of Content are performed, we do not guarantee there will be no loss or corruption of data.

Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

We will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the we have no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

You agree to maintain a complete and accurate copy of any Content that you post, in a location independent the Central Bullion marketplace.

Your Feedback to Us

You assign all rights, title and interest in any Feedback You provide to us. If for any reason such assignment is ineffective, You agree to grant Central Bullion Ltd a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

You agree and accept that all intellectual property rights of the Central Bullion marketplace and the Central Bullion Ltd databases are owned by Central Bullion Ltd, partners and licensors. Subject to the conditions in these Terms of Use, Central Bullion Ltd grants you limited personal rights to use the Central Bullion marketplace and view the information and images within. The limited personal rights granted to you are: personal, non-exclusive, revocable, not (sub)licensable and non-transferable.

The Central Bullion marketplace is protected by copyright, trademark, and other laws of both the United Kingdom and other countries.

Our trademarks and intellectual property may not be used in connection with any product or service without the prior written consent of the Central Bullion Ltd.

Intellectual Property Infringement

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Central Bullion marketplace infringes a copyright or other intellectual property infringement of any person, business, company or organization.

If you are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place on the Central Bullion marketplace, you must submit your notice in writing to the attention of our copyright agent via email at infringements@centralbullion.com and include in your notice a detailed description of the alleged infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

Central Bullion Ltd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

 

25: Account Closure, Deletion, Suspension and other measures. [C] [V].

Closing your User Account

You may close your Vendor or Customer Account at any time however, we have the right to refuse the deletion of your Account if you have outstanding obligations that you need to perform such as and not limited to: payment obligations to us and if there are any potential outstanding issues or complaints related to your Account, posts or activities on the Central Bullion marketplace.

Your User Account closed by Us

We may close and delete your Account at our sole discretion for reasons such as and not limited to: being legally required to so, if the User has acted in a way as not to comply with these Terms of Use, if it is not in our business interests to continue to provide services to you.

Suspension of your User Account

We are entitled to suspend your Account and any services that we provide to you if there is sufficient reason to believe that you have not acted in accordance with these Terms of Use.
We may set-off claims. In the event that your Account is suspended we will act to secure our own rights and those of other Users and at our sole discretion: we may suspend payments from or to you, including refunds and we may use your funds to offset any financial claim that we may have against you. Any such actions taken by us will be regulated and carried out in accordance with mandatory consumer law.

We may take additional protective measures. In addition to the measures described above, Central Bullion Ltd may also take additional measures to protect the company, the Central Bullion marketplace and other Users from any fraudulent, infringing or otherwise inappropriate behavior which are set out in these Terms of Use.

 

26: Availability of the Central Bullion marketplace. [C][V].

You agree and accept that we are authorised, at all times and without prior notice, to make technical, procedural, commercial, or other changes, amendments and improvements to the Central Bullion marketplace and are also authorised to temporarily put out of operation, or limit the use of the Central Bullion marketplace if it is deemed necessary to do so for reasons such as and not limited to: website/server maintenance.

The Central Bullion marketplace is provided for use ‘as is’ and without any kind of express or implied warranty.

We do not guarantee that:

(a) the Central Bullion marketplace will be secure or available on any particular date, time or in any particular time or location.

(b) any errors or defects of the Central Bullion marketplace will be corrected.

(c) the Central Bullion marketplace will be free of viruses or other harmful software or materials.

(d) that your use of the Central Bullion marketplace meets your expectations.

In the event that at any time the Central Bullion marketplace is unavailable, or has any defects or errors, we will at our sole discretion be entitled to take any measures deemed appropriate which may include and not be limited to: suspending all website activity, suspending/removing User Accounts, dissolving Contracts of Sale and cancelling transactions.

We cannot be held liable for.

Within the extent that is permitted by mandatory law, we accept no liability whatsoever for damages resulting from:

(a) The provision of Central Bullion Ltd services, including but not limited to damages resulting from, or in connection with your use of the Central Bullion marketplace, or from wrongful acts, or otherwise.

(b) The cancellation of transactions by us, or Contracts of Sale dissolved by us.

(c) The performance of Third Party Shipping Services and the delivery of products.

(d) The estimated values of Bullion/Precious Metal/Coins/Materials or any other products, at any time.

(e) User Material

(f) The unlawful use of the Central Bullion marketplace.

(g) The use by Users of of the services of Third Party Service Providers.

(h) Any errors in the descriptions and information text as a result of translations.

(i) Technical problems or other errors of the Central Bullion marketplace.

Limitation of liability.

If Central Bullion Ltd is found to be liable for any damages for any reason whatsoever, Central Bullion Ltd shall only be liable for the compensation of direct damages a User suffers as a result of a shortcoming, or wrongful act, that can be directly attributed to Central Bullion Ltd. Direct damages are restricted to only: material damage to goods, reasonable costs incurred to prevent or limit direct damage and reasonable costs incurred to determine the cause of the damage, the direct damage and the manner of repair. In the event that Central Bullion Ltd is liable for damages for any reason whatsoever, the liability is limited to the highest of the following amounts: (a) the total value of products purchased by the User with a maximum limit of £500GBP (five hundred British pounds). This limitation of liability does not exclude liability for gross negligence or willful misconduct committed by Central Bullion Ltd.

Reporting a damages claim. You agree and accept that you must report any damages to us in writing as soon as possible after first appearance of the damages. Any Claim for compensation against Central Bullion Ltd expires twelve (12) months after the first appearance of the damages.
The twelve months limitation period also applies if Central Bullion Ltd needs to pay out or refund you. It is your responsibility to ensure that we have the correct details to make such payment.

 

28: Indemnification. [C] [V] [B].

As a User of the Central Bullion marketplace, to the maximum extent permitted by applicable law, you are liable to fully indemnify us against claims from other Users or from third parties and all damages and costs that Central Bullion Ltd may suffer or incur as a result of (a) your failure to perform the Terms of Use, (b) any improper actions during the use of the Central Bullion Marketplace, (c) your breach of any regulations, laws, third party rights, or (d) a wrongful act by you. Your obligations for indemnification also applies to any partners, third party service providers, companies affiliated with Central Bullion Ltd and Central Bullion Ltd directors, employees, representatives and legal successors.

 

29: Disputes between Users. [C] [V] [B].

Issues and Disputes

When a purchase is made on the Central Bullion marketplace the contract of sale is between the Customer (Buyer) and the Vendor (Seller).

Central Bullion Ltd is not party to any contract of sale between Buyers and Sellers on the Central Bullion marketplace.

You agree and accept that you are obliged to try all means possible to resolve and dispute between yourself and any other User of the Central Bullion marketplace. In exceptional circumstances on and on written request to us, we will make reasonable efforts to mediate between Users, however we cannot be held liable to pay any damages or other compensation to any Users if they don’t agree with our decision.

Central Bullion Ltd takes a fair, objective and sensible approach to disputes and does not automatically side with the Buyer or Seller.

 

30: Disputes between Users and Central Bullion Ltd. [C] [V] [B].

You agree and accept that you must advise us in writing of anything you are unhappy with while using the Central Bullion marketplace. If we are unable to resolve such a complaint the following rules will govern any legal dispute between you and Central Bullion Ltd:

These Terms of Use and any disputes that arise from this the Terms of Use and the Central Bullion marketplace are governed by English law, unless otherwise stipulated in mandatory law and all disputes that arise between you and Central Bullion Ltd will be submitted to a court in England, United Kingdom, unless mandatory law stipulates that the dispute must be submitted to another court. Consumers disputes must be submitted to a court in England, United Kingdom, unless you choose another court that is competent according to law and is done so within one (1) month after we have invoked this provision in writing. You can also alternatively choose to submit a complaint to an authority for extrajudicial dispute resolution (see the website of the ODR Platform for more information).

Reporting a claim for performance. If you believe that Central Bullion Ltd has failed to fulfill its obligations under the agreement, then you must report a claim for performance against Central Bullion Ltd as soon as possible. Each claim for performance expires twelve (12) months after the moment it becomes claimable.

 

31: Changes to these Terms of Use. [C] [V] [B].

We may amend or supplement these Terms of Use at any time by posting the amended Terms of Use on the Central Bullion marketplace. If there is a significant amendment or supplement to these Terms of Use, then we at our sole discretion notify Users by email or some other means.

If you continue to use the centralbullion.com website after the Terms of Use have been amended or supplemented, you irrevocably accept the amended or supplemented Terms of Use.
Central Bullion Ltd may transfer rights and obligations that follow from these Terms of Use to third parties and we will inform you if this happens.

 

32: Survival. [C] [V] [B].

If any provision(s) in these Terms of Use is/are void or invalid in whole or in part for any reason, any Users and Central Bullion Ltd will remain bound by the remaining Terms of Use. Void or invalid parts of these Terms of Use will be replaced by provisions that are valid and which will have legal consequences that are in line with the removed invalid provisions, as much and as closely as is possible.
